Agreement to terms
Order Lynx (“Order Lynx,” “we,” “us”) is operated by Carlos Urtuzuastequi, a sole proprietor doing business as Order Lynx. These Terms of Service (“Terms”) govern access to and use of the Order Lynx website, storefronts, and dashboard (together, the “Service”).
By creating a vendor account, placing an order, or otherwise using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.
Order Lynx is used by two kinds of people, and different sections apply depending on which one you are: vendors — independent small businesses such as bakeries, florists, and similar sellers — who run a storefront on the platform (Section 4), and customers who place orders through a storefront (Section 5). Sections 1–3 and 6–15 apply to everyone.
What Order Lynx is
Order Lynx is a technology platform. It gives independent vendors — bakeries, florists, and similar small businesses selling made-to-order or made-ahead goods — a storefront, an order and fulfillment dashboard, a pickup/delivery scheduler, and a way to accept card payments. It does not make, sell, package, deliver, or take title to any product at any point.
Every storefront on Order Lynx is operated by an independent vendor, not by Order Lynx. The vendor — not Order Lynx — is the seller of record for every order, sets its own catalog, prices, and fulfillment policies, and is solely responsible for what it sells.
Accounts
Vendors create an account to manage a storefront. You’re responsible for keeping your login credentials confidential and for all activity under your account. Tell us right away if you suspect unauthorized access.
Customers don’t need to register an account — orders are looked up by order number and a lookup code sent at checkout. You’re responsible for providing accurate contact and delivery information at checkout; the vendor relies on it to fulfill your order.
You must be at least 18 years old, or the age of majority in your jurisdiction, to create a vendor account or place an order.
Vendor terms
This section applies if you operate a storefront on Order Lynx.
4.1 Your responsibility for what you sell
You are solely responsible for: the safety, quality, and accuracy of everything you list; complying with every law that applies to your business and industry — for food vendors, that includes food-safety, labeling, allergen, and health-permit laws, including any cottage food or home-kitchen operation laws in your state, and for other product types, the equivalent licensing, safety, and consumer-protection laws that apply; holding any license, permit, or registration your jurisdiction requires; and fulfilling orders as described and on the schedule you set. Order Lynx does not inspect, certify, or verify any vendor’s compliance with these laws.
4.2 Fees
Using Order Lynx may involve a subscription fee and a platform fee on card payments, as disclosed to you when you sign up or as updated in your dashboard. The current platform fee is shown in your Payment methods settings before you connect a card processor.
| Fee | When it applies | Where to check the current rate |
|---|---|---|
| Subscription | Billed on the cycle you signed up for | Dashboard → Billing |
| Platform fee | Deducted from each card payment | Dashboard → Payment methods |
| Card processing (Stripe) | Charged by Stripe on each card payment | stripe.com/pricing |
You may choose whether the card-processing surcharge is passed on to customers or absorbed by you, using the toggle in your dashboard. Fees may change; we’ll give you reasonable notice before a change takes effect.
4.3 Payments and payouts
Card payments are processed through Stripe. Connecting a Stripe account means you’re also agreeing to the Stripe Connected Account Agreement. Stripe — not Order Lynx — holds your funds, runs identity verification, and controls when payouts reach your bank account. Order Lynx isn’t a bank, money transmitter, or party to your Stripe account, and isn’t responsible for Stripe’s decisions about your account, including any hold, delay, or termination Stripe imposes.
4.4 Content you provide
You keep ownership of the photos, descriptions, and other content you upload. You grant Order Lynx a license to display it on your storefront and in the ordinary operation of the Service. You confirm you have the right to use everything you upload, and that it doesn’t infringe anyone else’s rights.
4.5 Suspension and termination
We may suspend or terminate your storefront for nonpayment, a violation of these Terms, or conduct that puts customers, Order Lynx, or the platform’s integrity at risk. Where practical, we’ll tell you why. You may close your account at any time from your dashboard.
Customer terms
This section applies if you’re ordering from a vendor through Order Lynx.
5.1 Your contract is with the vendor
When you place an order, you’re entering into a sale with the vendor, not with Order Lynx. The vendor sets the catalog, pricing, and fulfillment terms, and is responsible for preparing and fulfilling your order as described.
5.2 Payment
Card payments are processed securely through Stripe; Order Lynx does not store your full card number. Some vendors also accept cash, Venmo, Zelle, or PayPal arranged directly with them — those exchanges happen outside the Service and outside Stripe, and Order Lynx has no visibility into or responsibility for them.
5.3 Cancellations, refunds, and disputes
Cancellation and refund terms are set by the individual vendor. If something’s wrong with an order, contact the vendor first using the details on your order confirmation — they’re best positioned to make it right. If you can’t reach a resolution, contact us at the address in Section 15 and we’ll try to help facilitate, though the underlying agreement remains between you and the vendor.
5.4 Product safety and allergens
Every vendor on Order Lynx is independently operated, and — for food vendors — allergen handling, ingredient sourcing, and kitchen practices vary. If you’re ordering food and have an allergy or dietary restriction, ask the vendor directly before ordering. Order Lynx does not verify product, ingredient, or allergen information that vendors provide.
Prohibited uses
Don’t use the Service to: violate any law or regulation; infringe someone else’s intellectual property or privacy; upload false, misleading, or fraudulent listings or reviews; attempt to bypass Order Lynx’s payment system to avoid fees; interfere with or disrupt the Service’s security or availability; or scrape, reverse-engineer, or resell access to the Service without our written permission.
Intellectual property
The Order Lynx name, logo, and the platform’s software, design, and branding are owned by Order Lynx and protected by applicable intellectual property laws. Nothing in these Terms gives you rights to them beyond what’s needed to use the Service as intended.
Third-party services
The Service relies on third-party providers, principally Stripe for payments. Your use of those services is also governed by their own terms. Order Lynx isn’t responsible for the acts, omissions, or availability of any third-party provider.
Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the Service will be uninterrupted, error-free, or secure, or that any vendor’s listings, allergen information, or licensing claims are accurate.
Limitation of liability
To the fullest extent permitted by law, Order Lynx will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service — including any product, order dispute, or payment issue between a vendor and a customer. Order Lynx’s total liability for any claim arising from the Service will not exceed the greater of $100 or the fees you paid Order Lynx (not the vendor) in the three months before the claim arose.
Indemnification
You agree to indemnify and hold harmless Order Lynx from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your use of the Service, your content, your violation of these Terms, or — for vendors — the products you produce and sell.
Termination
Either of us may end this agreement at any time; vendors can close their storefront from the dashboard, and customers can simply stop using the Service. Sections that by their nature should survive termination — including Sections 9 through 11 and 13 — continue to apply after your account is closed.
Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in the state or federal courts located in California, and you consent to their jurisdiction.
Changes to these terms
We may update these Terms as the Service evolves. We’ll post the revised Terms here with a new effective date, and for material changes, we’ll make reasonable efforts to notify vendors directly. Continued use after a change takes effect means you accept the update.
